Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Techrave ("Company," "we," "us," or "our") regarding your use of our website, services, and communication channels including WhatsApp Business API.

By accessing our website (techrave.com.au), engaging our services, or communicating with us through any channel, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of our services immediately.

2. Description of Services

Techrave provides professional IT solutions including:

  • • Mobile application development (iOS and Android)
  • • Digital marketing and SEO services
  • • Business automation solutions
  • • IT consulting and technical support
  • • Related technology services as agreed upon

Services are provided on a project basis or ongoing support arrangement as specified in individual service agreements or quotes.

3. Service Agreement and Quotes

3.1 Price Match Guarantee

We guarantee to beat any written quote from a comparable service provider by 10%. This guarantee applies to similar services with equivalent scope, timeline, and quality standards. The competing quote must be in writing, current (within 30 days), and from a legitimate business operating in Adelaide, South Australia.

3.2 Quotes and Acceptance

All quotes are valid for 30 days from the date of issue unless otherwise specified. Quotes become binding service agreements upon your written acceptance and payment of any required deposit. Project scope, timeline, and costs will be clearly outlined in all quotes.

3.3 Scope Changes

Any changes to the agreed project scope must be documented in writing and may result in additional charges. We will provide written notification of any scope changes and associated costs before proceeding with additional work.

4. Payment Terms

4.1 Payment Schedule

  • • Projects under $5,000: 50% deposit, 50% on completion
  • • Projects $5,000-$15,000: 30% deposit, 40% at milestone, 30% on completion
  • • Projects over $15,000: Payment schedule as agreed in service agreement
  • • Ongoing services: Monthly billing in advance

4.2 Payment Methods

We accept bank transfer, credit card payments, and other methods as specified in your invoice. All prices are in Australian Dollars (AUD) and include GST where applicable.

4.3 Late Payments

Invoices are due within 14 days of issue. Late payments may incur a 2% monthly service charge and may result in suspension of services until payment is received. We reserve the right to engage debt collection services for overdue accounts.

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment of all fees, clients will own all intellectual property rights in custom-developed solutions, including websites, applications, and custom code created specifically for the client project. This includes source code, databases, and project documentation.

5.2 Techrave Ownership

Techrave retains ownership of general methodologies, frameworks, tools, and pre-existing intellectual property used in service delivery. We also retain the right to use knowledge gained during projects for future service improvement.

5.3 Third-Party Components

Some solutions may incorporate third-party components, libraries, or services governed by their respective licenses. Clients are responsible for compliance with all third-party licensing terms.

6. Website and Communication Terms

6.1 Website Use

You may use our website for legitimate business purposes only. Prohibited activities include attempting to gain unauthorized access, disrupting website functionality, or using automated tools to extract content without permission.

6.2 WhatsApp Business Communication

When communicating via WhatsApp Business API, you consent to automated responses and message processing for customer service purposes. We will respect WhatsApp's terms of service and maintain professional communication standards.

6.3 Communication Monitoring

Communications may be monitored and recorded for quality assurance, training purposes, and legal compliance. All communication records are subject to our Privacy Policy.

7. Service Level and Support

7.1 Project Delivery

We commit to delivering projects within agreed timelines, subject to client provision of required materials and approvals. Delays caused by client actions or external factors may extend delivery dates accordingly.

7.2 Support Services

Post-project support is available as specified in service agreements. Emergency support for critical business functions is available 24/7 for clients with active support agreements. Standard support operates during business hours (Monday-Friday, 9 AM-6 PM ACST).

7.3 Quality Assurance

All deliverables undergo quality testing before delivery. We provide a 30-day warranty on custom development work, covering bugs and functionality issues not caused by client modifications or external factors.

8. Client Responsibilities

  • • Provide accurate project requirements and specifications
  • • Supply necessary content, materials, and approvals in a timely manner
  • • Maintain confidentiality of login credentials and system access
  • • Comply with all applicable laws and regulations
  • • Make payments according to agreed terms
  • • Provide feedback and approvals within specified timeframes

9. Limitations of Liability

9.1 Service Limitations

While we strive for excellence, we cannot guarantee uninterrupted service, complete security, or absolute accuracy of all deliverables. Our liability is limited to the total value of services provided for the specific project in question.

9.2 Consequential Damages

Under no circumstances shall Techrave be liable for indirect, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or data loss, even if advised of the possibility of such damages.

9.3 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, telecommunications failures, or other force majeure events.

10. Termination

10.1 Termination by Client

Clients may terminate services with 14 days written notice. Early termination may result in additional charges for work completed and resources committed. Refunds for unused services will be calculated on a pro-rata basis.

10.2 Termination by Techrave

We may terminate services immediately for non-payment, breach of terms, or conduct that jeopardizes our business operations or reputation. In such cases, clients remain liable for all services rendered up to the termination date.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business. This obligation survives termination of services and remains in effect for a period of 5 years.

12. Dispute Resolution

12.1 Negotiation

Any disputes will first be addressed through good faith negotiation between parties. We encourage open communication to resolve issues promptly and fairly.

12.2 Mediation and Arbitration

If negotiation fails, disputes may be resolved through mediation or arbitration in Adelaide, South Australia, under the Commercial Arbitration Act 2011 (SA). This process is binding and final.

13. Governing Law

These Terms are governed by the laws of South Australia and the Commonwealth of Australia. Any legal proceedings will be conducted in the appropriate courts of South Australia.

14. Updates and Modifications

We reserve the right to update these Terms to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated to active clients with 30 days notice. Continued use of our services after such notice constitutes acceptance of updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
